MOEZ-ALEXANDRE ZOUARI

CHIEF EXECUTIVE OFFICER

Founder and majority shareholder of IMANES, HGZ (Holding Groupe Zouari) and SDH (Soft Discount Holding) groups.

After studying management, Moez-Alexandre Zouari founded, in 1998, with his wife Soraya Zouari, the IMANES group, specializing in local, precision and tailor-made trade. He invests daily in the strategy – focused on permanent innovation to transform, digitize and develop this business, in development and diversification.

The Group has now become a key player in mass market distribution in France.

In 2018, the Group, which has 500 stores with well-known French brands such as Franprix, Monoprix, Monop, launched the “4” store, an innovative and avant-garde “phygital” concept (the best of both physical and digital worlds), LSA 2018 Innovation and New York NRF 2019 Awards.

In 2019, it undertakes a series of acquisitions. First of all, it becomes the main shareholder with the acquisition of 47% of Picard, the French leader in frozen foods, which operates a network of 1,100 stores and which is one of the emblematic brands preferred by the French people.

In 2022, the Group Imanes is expanding its territory to non-food with two major acquisitions in the discount market with the ambition of becoming the leader in this sector: the French No.1 in stock clearance Stokomani and the Maxi Bazar brand. The two brands operate a network of approximately 300 stores.

With Matthieu Pigasse and Xavier Niel, he created 2MX Organic in December 2020.

GUILLAUME DARRASSE

DEPUTY CHIEF EXECUTIVE OFFICER

Graduated from the National Agronomic Institute Paris-Grignon, he has an engineering degree in agronomy. He began his career in the fruit and vegetable branch of the Pomona group where he held various positions in production, purchasing and sales.

In 1996, he joined the E. Leclerc group as manager of the food import activity, then in 1999 created the Lucie central purchasing office, common to the E. Leclerc and Système U groups, which he managed until 2003. Then he joined the Système U group as Director of offer products, purchasing, marketing and communication activities, before becoming Deputy Managing Director in 2006. He then led the transformation of the organization of the Group and the modernization of the brands and business concept.

Guilllaume Darrasse joined InVivo Retail in 2018 as General manager and initiated a new business project by building an innovative performance model marked by the inclusion of CSR at the heart of the strategy, the creation of a design and product innovation as well as the development of a strong collective management.

Edouard LACOSTE

GENERAL SECRETARY

Graduated from Sciences Po and ESSEC Business School.

Edouard Lacoste has developed, after more than 20 years of experience in investment banking and real estate, a solid financial and entrepreneurial expertise.

Edouard Lacoste successively held the position of General Manager of pan-European real estate investment and asset management funds (ÆRIUM) where he contributed to the fast growth of the company, in particular by increasing foreign investment, then he joined Atland to creating and managing the investment and asset management business.

He joined NFU as a partner and took over the general management of the investment, financing and asset management segments. Then, he co-founded www.habx.fr, a “proptech” company and help tool for design and customization for promising real estate agents and customers.

He joins Mr and Mrs Zouari as General Manager of the Zouari Family Office.

Jocelyn_Olive

Jocelyn Olive

DEPUTY GENERAL MANAGER FOOD RETAIL

Jocelyn Olive joined TERACT on November 14, 2022.

Graduated from ESSEC Business School, Jocelyn Olive began his career in 2005 in mid-cap private equity funds in France and Europe. For 7 years, he made numerous investments, particularly in consumer brands and fast-growing retail companies.

In 2012, he worked on the return of Burger King to France, where he became Managing Director for France. He OPERATED the commercial and human success of the brand, which experienced rapid development (250 restaurants opened in 6 years) and concluded the takeover of Quick in 2016.

In 2018, he joined Buffalo Grill. He devoted the first two years to the recovery and modernization of this leader in seated catering, and began to consolidate the market with the creation of the Napaqaro group. Napaqaro quickly became the second largest multi-brand and diversified player in the catering DISTRIBUTION in France, successively taking over Courtepaille, the Popeyes fast food master franchise, Louisiana Kitchen and the dark kitchens of Click & Savour.

Vincent AVIGNON

VINCENT AVIGNON

DEPUTY CHIEF OPERATING OFFICER

Graduated from Rouen Business School, Vincent Avignon has worked for 25 years in customer services, business development and network distribution. He began his career in food distribution for the Carrefour Group, then in specialized distribution for the FNAC group, where he held several sales and marketing positions.

In 1997, he joined the Boulanger brand (Auchan group) in France, and then supported its development in Spain, as Sales Director then Marketing, Purchasing, Communication, Digital Director and member of the Supervisory Board. In 2006, he joined the Saint Gobain group, building distribution branch, as Managing Director of a bathroom specialist start-up, then was entrusted with the France Sud Lapeyre network for 4 years.

In 2015, he joined the Jardiland brand as Operations Director, member of the Board and of the Supervisory Board. In 2019, he became Deputy Managing Director of InVivo Retail in charge of the operation and franchise of nearly 1,600 points of sale under the Jardiland, Gamm vert, Delbard, Noa, Jardineries du Terroir, Frais d’Ici et Bio&Co brands.

Frederic JACQUOT

DEPUTY GENERAL MANAGER OFFER PRODUCTS

Expert in trade, customer knowledge and merchandise circuits, he began his career in 1981 in renowned brands such as Mammouth, Continent and Carrefour, successively occupying various positions in stores.

From 1996 to 2011, he worked at Carrefour France as Regional Director then Director of Bazaar Merchandise France and Group. After 7 years at Système U, where he worked in Bazaar management and sales management, he created FJ Conseil & Formation, a company specializing in the redesign of store concepts.

Frédéric Jacquot joined InVivo Retail in April 2022 as Deputy Managing Director in charge of the offer, marketing, communication and digital. In particular, he oversees the development of the product innovation activity under the ECLOZ, INVIVO Nous on sème, PURE FAMILY and LES SENS DU TERROIR brands.

Valery DUVACHER

VALÉRY DUVACHER

CHIEF FINANCIAL OFFICER

Graduated from the ICEE Nantes University in accountancy, he began his career in 1993 at the headquarters of the Comptoirs Modernes group (Stoc Brand) and continued as Store Manager of the Champion supermarkets.

After international functions in Brazil where he supervised the takeover of 25 stores chain, and in China where he was Director of the Carrefour Market Headquarters Teams in Beijing from 2003 to 2005.  From 2010 to 2018, he managed the financial control of the various entities in particular the Carrefour Market supermarket in France.

After 25 years working for Carrefour group, Valéry Duvacher joined InVivo in 2019 to held the position of Chief Financial Officer of InVivo Retail.

SÉVERINE DELEBARRE

HUMAN RESOURCES DIRECTOR

Graduated in business law and certified Executing Coaching HEC Paris Business School, she has been working in the Human Resources for more than 20 years.

Her first part of her career took place in the HR consulting, successively within the Mickael Page Company (2004-2005) and the ADECCO group (2006-2009), in several positions of Recruitment Consultant then Agency Manager.  She joined Engie (2005-2006) and InVivo groups in several positions in Human Resources.

Started at InVivo in March 2009, Séverine Delebarre held successively several positions within the Group: Human Resources Manager “Premix World” in the pet nutrition and health subsidiary (2009-2011), “Talent Management” Manager within the Human Resources Department of the InVivo Group (2011-2018), Deputy Group Human Resources Director (2018-2020) and Human Resources Director for InVivo Retail (since April 2020).

SCHANI BLOUIN

Development and Real Estate Director

Graduated of DESS in urban planning and construction law, a master’s degree in business law and public law (Poitiers University) and a graduate of the executive management at ESCP Business School, Schani Blouin began his career at Decathlon in 1999 as a Real Estate Lawyer.

In 2001, he joined the Conte group, historical investor of the Jardiland group in charge of development. In 2004 he became Development Director. Two years later, following the merger of the Conte group and Jardiland, Schani Blouin became Development and Real Estate Director for the Jardiland group, including the general services management. After the integration of Jardiland within InVivo Retail, Schani Blouin became Development and Real Estate Director.

Florent MERMET BOUVIER

DIGITAL AND E-COMMERCE DIRECTOR

Graduated from Ecole des Mines (Ingeneer High School) and with professional experience on several different countries around the world, Florent Mermet Bouvier combined a double skill: Supply Chain through management positions within the Casino Group (Casino, Franprix, Leader Price) as well as E-commerce, with nearly 10 years spent at Cdiscount where he created the international business in Europe and Africa, then as Sales Director France.

In December 2020, Florent Mermet Bouvier joined InVivo Retail as Digital Director.

Philippe TAVARES

PHILIPPE TAVARES

IT DIRECTOR

Graduated from EM Lyon Business School, Philippe Tavares began his career as a consultant at Arthur Andersen and then BearingPoint companies. For 9 years, he carried out consulting assignments for several retail clients such as Monoprix, Brico Dépôt and Casino.

Since 2007, Philippe Tavares has held IT positions in various sectors at Devoteam, Sequans and, in 2012, within the FBD group – European leader in kitchen franchise stores (Ixina and Cuisine Plus brands). In 2017, he joined the Groupement des Mousquetaires to create the IT Business Department of the Household Equipment depatment, combinant various brand: Bricomarché, Bricorama and BricoCash brands. In June 2021, Philippe Tavares joined InVivo Retail to held the IT department.

Laura Trinidad

INVESTOR RELATIONS AND FINANCIAL COMMUNICATION DIRECTOR

Graduate from Neoma Business School in finance and the London School of Economics in economics, Laura Trinidad began her career in 2012 at TotalEnergies, in charge of mergers and acquisitions. She joined the Financial Communication – Investor Relations department in Paris, then in London. In 2016, she joined the Exploration-Production branch within the Economy department and she is in charge of the long-term plan and the validation of the economic part of the investment or contractual renegotiation files for the Bolivia and United States subsidiaries.

In 2018, she joined the InVivo Group to manage the financial communication and the post merger integration. She worked, among other files, on the sale of Neovia (pet health and nutrition), the integrations of the Companies Jardiland (Retail) and Café de Paris (Wine) and more recently, the Soufflet group.

Thierry Blandinieres

THIERRY BLANDINIÈRES

CHAIRMAN OF THE BOARD OF DIRECTORS

Thierry Blandinières is a graduate of the Ecole Supérieure de Commerce de Nantes and holds an Executive MBA from the HEC. He began his career in the chemicals and cosmetics industry. He moved to the agribusiness when he joined L’Européenne de gastronomie (Labeyrie/ Rougier) in 1991. He then went on to work for Madrange where he was appointed Deputy Chief Executive Officer in 1998.

In 2003, he was appointed CEO of Delpeyrat Comtesse du Barry, a subsidiary of the Maïsadour Group (an agri-food cooperative in the Landes region) and contributed to its recovery. In 2008, he was appointed CEO of the Maïsadour Group.

He joined the InVivo group in October 2013 as CEO. He initiated the strategic project 2025 by InVivo when he joined the company, thus starting a profound transformation of the group. He subsequently embarked upon the co-creation of the 2030 by InVivo plan, which was adopted in 2019 with the ambition to support the agricultural transition and transform the French Farm.

Thierry Blandinières has also actively worked to turn his group into a société à mission. This change in status was ratified by the Union InVivo Board of Directors in October 2020.

 

At the start of 2021, InVivo entered into exclusive negotiations with Soufflet, a family-owned agrifood group. In December 2021, the merger was signed between these two international French groups, allowing them to create a pillar of French food sovereignty.

Ewa Brandt

EWA BRANDT

INDEPENDENT DIRECTOR

Ewa Brandt is the Global CSR officer of IPSOS, the French global market and opinion specialist, present in 90 countries, with 18,000 employees and a turnover of 1.783MEUR.

A Sciences Po Paris graduate (Economy & Finance), Ewa Brandt attended the HEC Executive Education in 2010 and the HEC Executive Coaching in 2017.

She started her career in Finance as the CFO of CEDROM Technologies in 1984. In 1988, she became CEO of SMG SA (a SIFO Group subsidiary) where she had worked for 7 years.

In the 90’s and 2000’s, she held several positions in the human resources area, as Human Resources Director: for Cap Gemini Group (1997-2005); then for the Crédit agricole Corporate and Investment Bank where she joins the executive committee (2005-2008); for Natixis – BPCE Group (2008-2010); for TDF Group – a European group expert in broadcasting and telecom networks ; and for Eurazeo – a listed investment company (2013- 2017).

Cédric Carpène

CÉDRIC CARPÈNE

DIRECTOR

After studying agriculture, Cédric Carpène took over the family farm. He is now a cereal farmer in the Gers (32) and has 200 hectares of crops. He manages two animal productions: cattle (110 heads) and organic eggs (12 000 laying hens).

Cédric Carpène is president of the Gers cooperative Val De Gascogne since 2016 and president of three trading companies (OGR, Lamothe, @xion): which represents a total of 420 employees; 480,000 tons collected and a turnover of 227MEUR.

Maha Fournier

MAHA FOURNIER

DIRECTOR

A graduate of Montpellier SupAgro, she began her career with the Maïsadour agrifood cooperative group in 1993 where she spent almost twenty years. From manager of the “Agri Confiance” quality assurance pilot project, to SAP project manager, to business controller at MAS Seeds, she held a wide variety of positions that greatly enhanced her skills and expertise.

In 2003, she was called in as chief financial officer (CFO) to strengthen and revitalise Delpeyrat. Over the next ten years, Maha Fournier gained experience that she considers to be the foundation of her career. In 2008, Maha Fournier joined the Executive Board as Director of external development. In 2014, in parallel with her duties, she attended the HEC Executive MBA.

In 2015, she took up the position of CFO of InVivo. On 1 January 2022, she became chief executive officer in charge of Finance, IT, Legal and M&A for the entire InVivo group. This appointment follows the significant enlargement of the financial scope with the acquisition of the Soufflet group finalised in December 2021.

Bertrand Hernu

Bertrand Hernu has been a farmer in the Hauts-de-France region for 30 years. Before that, he worked as a management consultant in an accounting firm.

He was president of the Unéal cooperative (Advitam group) for 14 years, from 2007 to 2021.

MARIE-AMÉLIE DE LEUSSE

INDEPENDENT DIRECTOR

Marie-Amélie de Leusse is Chair of the Board of Directors of Rémy Cointreau since 21 July 2022.

She is also Deputy Chief Executive of the family holding company, Andromède, Rémy Cointreau’s principal shareholder.

After graduating from the ESCP-EAP business school, Marie-Amélie de Leusse began her career at Société Générale Investment Banking in London before joining NM Rothschild & Sons, where she held a number of positions in the capital goods team working on mergers and acquisitions. Between 2010 and 2016, she held a number of roles within Rémy Cointreau’s finance team, first in Paris and subsequently in Singapore.

INDEPENDENT DIRECTOR

Xavier Niel is the founder and majority shareholder of Iliad.

A self-taught entrepreneur, he has worked in the Internet and telecommunications industry since the late 1980s. In 1993 he founded France’s first ISP, and in 1999 he created Free, France’s first free-access ISP.

He invented Triple Play and launched the Freebox in 2002 – a unique, state-of-the-art, multiservices box combining broadband Internet with telephony and television.

In 2013, Xavier founded 42, a tuition-free coding school based on peer-to-peer learning. Since then, the 42 school in Paris was named best coding school in the world and over 40 schools have opened around the world, training 15,000 students.

In 2017, he launched Station F, the world’s largest start-up campus, which hosts a thousand start-ups in a former 34,000 sq.m railway station in Paris.

Since 2010, Xavier has been the joint controlling shareholder of the newspaper Le Monde and the magazines Télérama, Courrier International and L’Obs.

COMBAT HOLDING REPRESENTED BY MATTHIEU PIGASSE

INDEPENDENT DIRECTOR

Matthieu Pigasse has developed, as a mergers and acquisitions banker, a unique financial expertise over the last twenty years. He has worked on the largest M&A transactions worldwide and on the largest sovereign debt restructurings, including Argentina, Greece and Ukraine. During his career, Matthieu advised a large number of clients active in the digital space and the music industry.

Moreover, Matthieu Pigasse is also the Chairman (Président) of Combat Media, of which he owns 100% of the share capital. Through his personal investments, he developed a deep understanding of the media and music sectors. In 2009, he purchased the monthly magazine Les Inrockuptibles of which he is chairman of the Board of Directors. Along with Pierre Bergé and Xavier Niel, Matthieu Pigasse became co-owner of Le Monde Group (which controls the daily newspaper, its digital editions, and various magazines) in 2010 and of the French weekly magazine L’Obs in 2014. In 2012, he launched the French edition of the “Huffington Post” website. In 2015, he acquired Radio Nova. In 2017 he became shareholder of Rock en Seine alongside AEG Presents and invested in Rough Trade alongside Beggars Group.

Matthieu Pigasse is one of the founders and one of the main shareholders of the first two SPACs created in France with Mediawan and 2MX Organic.

Matthieu Pigasse started his career as the financial and industrial advisor to the French Minister of Economy and Finance, Dominique Strauss-Kahn, from 1997 to 1999, before joining, one year later, Laurent Fabius’ cabinet, then Minister of Economy and Finance, as Chief of Staff. As a former Chief of Staff of the French Minister of Economy and Finance, Matthieu Pigasse has an intimate knowledge of the public sector as well as the European regulations. He graduated from Ecole Nationale d’Administration.

BERTRAND RELAVE

DIRECTOR

A graduate of the ICL Lyon (business school) in international management, Bertrand Relave has been CEO of the Eurea cooperative group since 2008.

Bertrand Relave has been working in the garden center sector for 30 years. In 1993, he became the development manager of Vive le Jardin (Jardiland group) for France, Italy and Switzerland. He then took over the development and operational management of the Côté Nature garden center chain. At the same time, he oversaw the CRJ purchasing center (for Côté Nature, Delbard and Saisons & Jardins). He then joined Eurea to manage the group’s Gamm Vert stores and the Agri Sud Est agricultural trading company.

BPIFRANCE INVESTISSEMENT REPRESENTED BY LOUIS MOLIS

OBSERVER

Louis Molis has been Deputy Director within the Large Cap team of Bpifrance Capital Développement since 2019. He began his career in entrepreneurship in 2007 by founding / co-founding two startups, then he joined the investment team Buyout of Bridgepoint Capital in 2011, and JCDecaux in 2014, as M&A Manager, then Group M&A and Development Director.

Louis monitors Bpifrance’s investment in Valéo, Arkema, Groupe Grimaud, Sendinblue, Malteries Soufflet, Almaviva and LV Overseas.

The Audit Committee

The Audit Committee (Comité d’Audit) is composed of three members of TERACT’s Board of Directors, namely, Ewa Brandt (Chair), Bertrand Hernu and Matthieu Pigasse. Ewa Brandt and Matthieu Pigasse are independent members.

Mission

The committee shall notably be responsible for:

  • The process for preparing financial information;
  • The effectiveness of internal control and risk management systems;
  • Legal control of the annual accounts and the consolidated accounts by the auditors;
  • The independence of the statutory auditors.


The Nomination and Remuneration Committee

Mission

The committee shall notably be responsible for:

  • Providing the Board of Directors with substantiated recommendations on the composition of the Board of Directors and its respective committees,
  • Submit to the Board of Directors a list of members who qualify as independent members;
  • Preparing a succession plan for the corporate officers;
  • Providing the Board of Directors with recommendations on the recruitment of executive employees;
  • Reviewing the compensation policy and the main objectives suggested by the management;
  • Formulate recommendations and proposals for the Board of Directors regarding any grant of incentive instruments to the benefit of employees of the Group;
  • Reviewing the total amount of compensation of the Board members;

The Nomination and Remuneration Committee (Comité des Nominations et des Rémunérations) is composed of three members of TERACT’s Board of Directors, namely, Ewa Brandt (Chair), Cédric Carpène and Matthieu Pigasse. Ewa Brandt and Matthieu Pigasse are independent members.


The Corporate Social Responsibility Committee

The Corporate Social Responsibility Committee (Comité ESG) is composed of three members of TERACT’s Board of Directors, namely, Ewa Brandt (Chair), Marie-Amélie de Leusse and Bertrand Relave.  Ewa Brandt and Marie-Amélie de Leusse are independent members.

Mission

The Corporate Social Responsibility Committee has the general mission of promoting the creation of value by the Company in the long term by considering the social and environmental issues of its activities. In this regard, it regularly examines, in conjunction with the strategy defined by the Board of Directors, the opportunities and risks such as financial, legal, operational, social and environmental risks as well as the measures taken as a result. In this area, it proposes to the Board of Directors any statutory changes that it deems appropriate.
